(A) ALL NEW CUSTOMERS ARE ON A C.O.D. BASIS.
(B) OPEN ACCOUNT:
Anyone may apply for an open account by completing a DENRAM Credit Application and Bank Disclosure Form. Acceptance of such application is not guaranteed. Customer will be notified when their account has been approved and what their credit limit will be. Applicants grant their permission to DENRAM or its assigns to telephone home or office to discuss matters related to their account.
(C) TERMS OF PAYMENT:
If you have an open account, the net amount of the invoices are due by the 10th of the month following the date of the invoice. (Whether the date of invoice is the 1st, 10th, 20th or 30th of the month, the total must be received by DENRAM by the 10th of the following month.) Accounts not paid within the terms are subject to a late payment charge of 1.25% per month or $5.00, whichever is greater. Late charges shall accrue and shall be payable on the same basis as the invoiced amount for each and every calendar month for which full payment together with accrued late charges are delinquent.
(D) DEPOSITS:
A deposit of at least 50% of the quotation is required on all new orders.
(E) PRICES - STOCK FORMS:
All prices and specifications on stock forms are subject to change without notice and orders will be accepted only with the understanding that billing will be rendered at prices prevailing at the time of shipment.
(F) TAXES:
All prices are quoted subject to customer’s assuming taxes or charges of any nature imposed by the state, local or federal authority, and shall become payable by reason of the sale or delivery of the merchandise.
(G) CLAIMS:
Claims for defects, damages or shortages must be made by the customer in writing within fifteen (15) days after delivery of all or part of the order. Failure to make such claim within the stated period shall constitute irrevocable acceptance and an admission that the order fully complies with terms, conditions and specifications and shall be deemed a waiver for all claims.
(H) RETURN SHIPMENTS:
Credit cannot be allowed on returned items if the order was correctly filled by us, unless written consent is issued by DENRAM. All items must be received in good resalable condition. Since additional expense is involved in returning merchandise to inventory and issuing credits, a minimum service charge of 15% of the invoiced amount or $5.00, whichever is greater, will be made. Any freight charges incurred in the original shipment will also be charged against the credit issued. Return freight charges must be paid by the customer. All claims for credit must be made within 10 days of receipt of goods. Use care in boxing and wrapping those items you are returning. NO SPECIAL OR CUSTOM ORDERS MAY BE RETURNED!
(I) RETURNED GOODS:
Checks returned, for any reason, are subject to a minimum $20.00 service charge. NOTICE: Pursuant to Civil Code Section 1719, DENRAM will make demand upon a maker of a check returned for any reason. Pursuant to statute, if payment is not made on checks within 30 days of demand, the maker may be liable for check plus damages of treble the amount owing, and in no case damages less than $100 or more than $500 per check, as well as costs of mailing demand for payment.
